The agreement between you and us for using NovaScreen.

1. Agreement & definitions

These Terms & Conditions ("Terms") govern access to and use of NovaScreen (the "Service"), a hosted digital-signage content management system provided by BOSH Group Limited, 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom, company number 10893235 ("we", "us", "our", "the Provider"). "You" and "your" mean the individual or organisation that registers for an account.

The Service lets you create, schedule and manage content — images, video, PDFs, web pages and built-in widgets — for display on paired screens, using our native players (Android/Fire TV, Windows, Raspberry Pi) or a browser-based player, together with the associated dashboard and APIs.

By creating an account or otherwise using the Service you agree to these Terms. If you do not agree, do not use the Service. See also our Privacy Policy and Cookie Policy, which form part of this agreement.

2. Accounts & responsibilities

You must provide accurate registration information and keep your account credentials secure. You are responsible for all activity that occurs under your account, including actions taken by team members you invite. Notify us promptly at info@boshgroup.co.uk if you suspect unauthorised access.

You are responsible for the screens and devices you connect to the Service and for ensuring their use complies with these Terms and with any laws applicable to the locations where content is displayed.

3. Acceptable use & content restrictions

You must own, or hold the necessary licences and rights to, all content you upload or display through the Service. You must not upload, schedule or display content that is:

We may remove content that breaches this section and may suspend or terminate accounts responsible for it. Where an account is suspended or terminated for breach of this section, no refund will be given for fees already paid.

4. Billing, suspension & content retention

Paid subscriptions are billed through our payment processor, Stripe, on a recurring monthly or yearly basis depending on the plan you choose.

If a payment fails, the Service continues to run for a 7-day grace period while we attempt to collect payment. If payment has not been successfully collected by the end of that grace period, your account is suspended: content stops being displayed on your screens (playback is paused) rather than deleted immediately.

If a suspended account remains unpaid for a further period of continued non-payment, we may subsequently delete the account's content and data. That further period is currently [retention period — TBD, subject to legal review]. We will aim to notify you by email before any such deletion.

5. Refunds & cancellation

You may cancel your subscription at any time from the Billing section of the dashboard. Cancelling stops future renewals; your plan remains active until the end of the current billing period, after which it will not renew.

6. Liability & disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not guarantee that the Service will be uninterrupted, error-free or available at all times.

To the fullest extent permitted by law, our total liability to you arising out of or in connection with these Terms or the Service is capped at the amount you paid us for the Service in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental or consequential losses.

Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, or for fraud.

7. Indemnity

You agree to indemnify us against claims, losses and expenses arising from content you upload or display, or from your breach of these Terms.

8. Changes to these Terms

We may update these Terms from time to time. Where changes are material, we will make reasonable efforts to notify you, for example by email or a notice within the dashboard. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

9. Governing law

These Terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction over any dispute arising from them.
